Wondering what it means to serve as a director on the board of the Co-op?

Check out some of these frequently asked questions:

Q: What does the Board of Directors do?

A: The board represents the membership of the co-operative by establishing the overall vision and objectives for the co-operative. They are responsible for ensuring that the Co-op is heading in the right direction by setting policies, establishing budgets, and reviewing the performance indicators that measure the Co-op's success toward these objectives. The board is responsible for hiring and overseeing the performance of the General Manager or CEO of the Co-op, who is responsible for all operational decisions. For more information about the duties and responsibilities of directors, see page 15 of the nominations package.

Q: Who can serve on the Board of Directors?

A: The Board of Directors is made up of members just like you. Most active members of the Co-op age 18 and older are eligible to be elected to the Board of Directors, as long as there are no conflicts of interest and the person is of sound mind. Nominees must have $2,500 of purchases with the Co-op in the previous financial year, which shows that they have a vested interest in the success of the Co-op. The full criteria are outlined in page 11 of the nominations package.

Q: What are the obligations of Directors?

A: Board members are expected to attend regular board meetings, which are held monthly, typically on the third Wednesday of the month at 5:00pm. Regular board meetings are generally held in Barrhead, and alternate to Mayerthorpe on an occasional basis. The board also has several committees dealing with specific areas of the governance of the co-operative. Board members are expected to participate in some of these committees, and meetings for these committees are held as called by the committee chair. Board members must attend the Annual General Meeting and Annual Information Session, which are held in June. Pembina West Co-op has designated delegates that attend bi-annual Federated Co-op meetings in Saskatoon in November and March. Board members are also required to participate in some training opportunities as required. Directors are required to adhere to all code of conduct guidelines as found on pages 16-18 of the nominations package. If you are interested in standing for election, please ensure your availability to attend a majority of these meetings.

Q: Are the Director positions paid or volunteer?

A: While Directors serve on the board as a service to their community and out of an interest in ensuring a sustainable future for their co-operative, they are also compensated for their services and expenses incurred in the course of fulfilling their role as a Director. Directors are remunerated for their service according to the policy as approved by the Board. For more information on director compensation, we invite you to speak with a member of the nominations committee, contact information can be found on page 3 of the nominations package.

Q: How are the President, Vice-President, and Secretary of the board selected?

A: Each year, following the Annual General Meeting, the board members hold a reorganizational meeting to select their Executive Committee for the coming year.
